This mix, with MBCA emphasis, is probably to be expected for a book that tries to cover Corporations material for as many students as possible. Read More Rating: - Not great, but better than nothingThe worst of the E & E series, this book is way too dense for its purpose. The questions (many, but not most, of them) are poorly written. Instead of simplifying concepts it merely reexplains them in technichal jargon. As mentioned in an above review, the Securities stuff is really good. It's still good review- i.e better than nothing. Rating: - DecentI generally like the Examples and Explanations series, however "Corporations" is not one of their best. As other reviewers have mentioned, this book focuses primarily on the Model Business Corporations Act and does not include cites to Delaware or other states. Usually, I could find the cites myself, but this added a layer of work when I made my outline. Also, some cases were not explained succintly in one place--rather, the analysis was spread throughout a chapter and continued through the examples. ... For everything else, if you are studying the Model Code then you'll be happy, but if you study DE or any other law, you will find nothing of use here. Rating: - good last-minute review bookgood review for corporations class. it is based on the model code, and sometimes DE. but if you need NY law, this book doesn't help that much. but the explanations are clear and interesting. |
